Member states had until 6 July 2024 to write the Corporate Sustainability Reporting Directive into national law. Most did not, and the gap between legal force and legal reality became the story.

The Corporate Sustainability Reporting Directive entered into force in January 2023 with a transposition deadline for EU member states of 6 July 2024. By that date only eleven countries had adopted implementing legislation, at least in part, while several others had only reached the consultation stage. The European Commission subsequently opened infringement procedures against seventeen member states, including Germany, Spain, and the Netherlands, giving each two months to respond.

A missed transposition deadline does not suspend the underlying obligation for long, and it does not change what institutional counterparties expect to see from a real asset sponsor in the meantime. It does mean the compliance calendar an owner assumed applied to their jurisdiction may not yet be enforceable there, while investors underwriting cross border portfolios are left reconciling different effective dates country by country.
Real estate and infrastructure portfolios that span multiple EU jurisdictions now sit inside a patchwork rather than a single directive, since national transposition determines what is actually enforceable, and by when, asset by asset.
Sponsors who kept building toward CSRD's substance rather than waiting on their own country's transposition timeline are, in our experience, the ones underwriting fastest with capital partners who no longer assume a mandatory filing will arrive on schedule.
